These Terms of Service ("Terms") govern your use of the Top Profit Club website, member portal, group community, educational video modules, educational events, and 1-on-1 consultations on trading fundamentals (collectively, the "Services") provided by Top Profit Club ("we", "our", or "us").

1. Eligibility and Registration

By using our Services, you represent and warrant that you are at least 18 years of age and possess the legal authority to enter into a binding agreement. If you are under 18, you are strictly prohibited from using our website or registering for our programs.

When you register for our Services, you agree to provide accurate, current, and complete information, and to keep your account details secure. You are fully responsible for all activity that occurs under your account or credentials.

2. Description of Services & Educational Nature

Top Profit Club provides group community access, educational video modules, and 1-on-1 consultations focused on the fundamentals of futures, forex, and general financial trading.

The Services do not provide live trading, trade signals, coordinated trade entries or exits, or instructions for members to copy or follow another person's trades. Any market discussion, analysis, or trade example is provided solely to explain educational concepts, and members make their own independent trading decisions.

IMPORTANT DISCLAIMER: All information and materials provided through our Services are for educational and informational purposes only. We do not offer personalized financial, investment, tax, or legal advice. We are not a registered broker-dealer, investment advisor, or commodity trading advisor (CTA). You are solely responsible for evaluating the risks and merits of any trade, investment strategy, or financial product mentioned or demonstrated within our Services.

3. Trading Risk and Educational Examples

Trading futures, options, forex, and equities involves a substantial risk of financial loss and is not suitable for every individual. You must be aware of the risks and be willing to accept them in order to invest in these markets. Never trade with money you cannot afford to lose.

Simulated/Hypothetical Performance: Simulated or hypothetical performance results have certain inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading. Also, since the trades have not actually been executed, the results may have under- or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

4. Fees and Payments

Access to group communities, video modules, or 1-on-1 educational consultations may require payment of a fee or a recurring subscription. We process payments and membership agreements through Whop.com. All terms related to billing cycles, subscription management, and payment methods are governed by Whop's Billing Agreement.

Refund Policy: Due to the digital nature of our educational content and consultation services, all sales are final and non-refundable unless explicitly stated otherwise or required by applicable law.

You can manage or cancel a recurring subscription through Whop. Cancellation stops future renewals but does not, by itself, create a right to a refund for a completed charge.

5. Third-Party Services

The Services may use or link to third-party platforms including Whop, Discord, WhatsApp, Supabase, Typeform, Cal.com, WebinarJam, and video-hosting providers. Your use of those platforms is also subject to their own terms and privacy policies. We are not responsible for a third party's independent services or availability.

6. Intellectual Property and Content Use

All content provided as part of the Services—including videos, graphics, course documents, slides, software, chat messages, and website designs—is the exclusive intellectual property of Top Profit Club or its licensors. You are granted a limited, personal, non-transferable, and revocable license to access our educational content for your own private study.

You agree not to copy, record, distribute, resell, license, reverse-engineer, or share access to any of our proprietary content or private Discord channels without our express written consent. Unauthorized distribution or copying will result in immediate termination of your access without refund, and may subject you to civil liability.

7. Community Guidelines & Conduct

Our Discord and chat platforms are built on mutual respect and shared growth. By participating in our community channels, you agree not to:

• Harass, abuse, threaten, or discriminate against other members or staff.
• Post spam, unsolicited advertisements, or links to external paid services or trading groups.
• Share false, misleading, or deceptive information.
• Solicit funds, loans, or investments from other community members.

We reserve the right, in our sole discretion, to remove, edit, or block any content posted, and to immediately revoke or suspend the access of any member who violates these conduct rules, without warning or refund.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Top Profit Club, its owners, employees, educators, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages—including but not limited to trading losses, loss of profits, loss of data, or business interruption—arising out of or in connection with your use or inability to use our Services, even if we have been advised of the possibility of such damages.

9. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in the State of Florida. You consent to the jurisdiction of such courts.

10. Modification of Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the website or Services following the posting of changes constitutes your acceptance of the revised Terms.
